GAME DEVELOPMENT CONTRACT AGREEMENT
Project Title: The Shadow: Nocturne Asylum

Total Project Budget: $2,685 USD
Hourly Rate: $15 USD/hour
Delivery Timeline: 1–2 months
Optional Add-ons: Voice Cloning ($525 – not included in base scope)
1. Scope of Work
Digital Logics agrees to deliver animation retargeting, bodycam integration, voice-reactive AI (excluding
voice cloning), Shadow AI behavior with mission flow, multiplayer functionality, and final polish, per the
milestone structure in Appendix A.
2. Ownership & Intellectual Property
All assets, code, and deliverables created during the project become the exclusive property of Samuel
Alvarez upon milestone payment. Digital Logics may not reuse, resell, or distribute any part without
written permission.
3. Payment & Milestones
Project is divided into 5 milestones. Each is paid only after successful delivery and approval. Payments
via Freelance.com or a agreed upon alternative
4. Termination Clause
Samuel Alvarez may terminate the project at any time. Only completed and approved work must be
paid for. Digital Logics must deliver all files within 72 hours of termination. No extra fees will apply.
5. Revisions & Support
Each milestone includes one round of revisions. Additional work beyond scope will be quoted and billed
separately.
6. Communication & Tools
Primary tools: Discord, Trello, Google Drive. Weekly check-ins required.
7. Confidentiality
All documents, files, and ideas shared by the client are confidential and may not be shared externally.
8. Governing Law
This agreement is governed by the laws of the United States.
